1. The service and this agreement
These Terms govern Companion, provided by SwitchCase Studios (“SwitchCase,” “we,” “us”), including the administration dashboard, website crawler, document indexing, AI chat, embedded components, cloud file imports, MCP connections and related APIs. “Customer” means the individual or organization creating or operating a workspace. “Visitor” means someone using a Customer’s embedded chat.
When you create a workspace or affirmatively agree to these Terms, you accept them for yourself and, if applicable, the organization you represent. You must be at least 18 and authorized to bind that organization. If you do not agree, do not create or administer a workspace. Our Privacy Notice explains data processing; it is not consent to optional processing.
Visitors do not become Customers merely by viewing a widget. Visitors should review the website operator’s terms and privacy notice, use chat lawfully, and independently verify answers. Nothing here creates an agreement to purchase a Customer’s products or changes its return, refund or other policies.
2. Accounts, access and third-party services
Provide accurate account information, protect sign-in credentials, limit workspace access to authorized people, and promptly report suspected misuse. Customers are responsible for their authorized users, configurations, integration credentials and website deployments. Do not share secret keys in public source content, prompts or embed code.
Authentication, hosting, AI processing, vector search, cloud file connections and optional ticket platforms involve third-party services. Your separate accounts and integrations remain subject to those providers’ terms and availability. Connecting an integration authorizes the operations you configure, not unrelated access. We do not control third-party outages, changes, content or ticket resolution.
3. Your content and permission to process it
You retain your rights in uploaded materials, website content, configuration and visitor submissions. You grant us a non-exclusive permission to host, copy, extract, chunk, index, retrieve, transmit and display that content as necessary to provide, secure and support your configured service, including through our service providers. This permission does not transfer ownership or authorize selling your content.
Only upload or crawl material you are entitled to use for these purposes, and obtain required permissions from website owners, authors and individuals. Public availability does not mean content is free of copyright, contractual or privacy restrictions. You are responsible for reviewing crawl previews, selecting appropriate sources, maintaining accurate content and excluding restricted information.
Indexed sources are intended to inform a public-facing assistant. Passages, citations and document details can be revealed through responses. Do not put confidential documents, credentials, private customer records or information you cannot disclose into public knowledge. Access controls and response filters reduce some risks but cannot guarantee secrecy or block every paraphrase.
We own the service software and branding, except for your materials and third-party components. During authorized use, you may deploy our embed on approved websites. Do not misrepresent ownership of the service or remove required AI or privacy disclosures. Applicable open-source licenses and rights that cannot lawfully be restricted remain in effect.
4. AI limitations and human review
Companion retrieves relevant source passages and uses AI to generate answers. Responses may be incomplete, outdated, inaccurate or inconsistent with a cited source. A citation, confidence indicator, excluded-phrase filter or cache hit is not a guarantee of correctness. Review important answers against the original material and provide a human support path.
The service does not provide legal, medical, financial or other regulated professional advice. Do not rely on it for emergencies or decisions affecting someone’s legal rights, health, employment, housing, credit, insurance or access to essential services. The assistant cannot approve refunds, enter contracts, make binding promises or exercise authority for us or a Customer unless a separate, expressly authorized workflow provides that capability.
Ticket creation requires the visitor’s submission and the configured integration. A submitted ticket is not confirmation that a business has accepted a request or will respond within any particular time. Customers remain responsible for monitoring and fulfilling their support obligations.
5. Acceptable use and customer responsibilities
Do not use Companion for unlawful activity, harassment, fraud, impersonation, infringement, malicious code, unauthorized access, extraction of others’ data, circumventing quotas or security controls, or testing systems without permission. Do not attempt to disrupt the service or reverse engineer it except where applicable law permits that activity.
Do not submit payment-card numbers, passwords, government identifiers, protected health information, biometric identifiers or other highly sensitive data. Companion is not offered as a regulated-data repository or a service for children under 16. Do not deploy it on a child-directed service or use it to knowingly collect children’s information.
Customers must provide appropriate visitor notices, establish a lawful basis for processing, obtain consent where required, honor applicable privacy requests and browser signals, and configure collection accordingly. Analytics being available or enabled is not proof that it is lawful for your audience. Do not use profiles or interaction data for covert surveillance, discriminatory treatment or unrelated advertising.
Customers are responsible for any data-processing agreement, international-transfer arrangement or other regulated-use contract needed for their deployment. Contact us before using the service where such an agreement is required; these Terms and the Privacy Notice alone do not constitute a separate data-processing agreement.
6. Availability, limits and charges
Answers, accepted API or MCP operations, and knowledge processing share the workspace’s usage allowance. Imports and refreshes use processing units based on changed indexed content; AI media analysis uses additional units. Browsing cloud files and unchanged cloud files use none. Plan & billing explains the counting rules. Free allowances reset at the start of each UTC calendar month. Paid allowances reset with each verified monthly subscription period. Unused included units do not carry over. Separately purchased refill units carry over until used and do not reset at a monthly boundary. Knowledge capacity limits also apply. The connection settings describe which operations count. Your connected AI client or other provider may charge separately.
Features, usage limits and capacity may change. Free and preview features are provided without a guaranteed uptime, support response time, storage duration beyond our stated practices, or continued availability. We may limit requests, pause ingestion, disable an unsafe integration or suspend access to address misuse, security, legal obligations or material breach. We will provide notice and an opportunity to resolve an issue where reasonably practicable.
Free workspaces have no subscription charge. Paid subscriptions begin only when you complete checkout and accept the displayed price and payment terms. Prices are in US dollars and applicable taxes may be added. Paid subscriptions renew monthly until canceled; you authorize recurring charges to your chosen payment method. Each successful paid renewal starts that subscription period’s included allowance. Reaching an allowance pauses counted operations and does not create an automatic overage charge.
We may provide promotional or complimentary Basic or Pro access without checkout or a payment method. Its included allowance resets each UTC calendar month while the grant is active. Plan & billing shows whether it expires. When complimentary access expires or is revoked, the workspace returns to any other active subscription entitlement or Free; existing content remains subject to the resulting plan limits.
Use Plan & billing in your workspace to open the billing portal, review payment details and invoices, or cancel your subscription. Cancellation takes effect at the end of the current paid period, as shown in billing; your workspace then returns to Free. Existing content is not deleted solely because of cancellation, but Free limits apply. Changes between paid plans do not erase units already used in the current paid period. Review any plan-change price, effective date or adjustment shown before confirming it. Refund requests can be sent to hello@switchcasestudios.com; mandatory refund and consumer rights are unaffected.
One-time refill packs cost $24 for 100 shared usage units, subject to applicable taxes. Packs become available after payment is verified and may be purchased on any plan. Your included allowance is used first; unused refill units stack and remain available across plan changes until used. Refills do not renew automatically, restart your billing period or unlock paid plan features. Refunded or disputed payments may reduce the associated refill balance; reversal of already used credits may offset later refill purchases. Your included plan allowance remains separate. Mandatory consumer rights are unaffected.
Stripe processes subscription and refill payments and billing management. If payment fails, paid access may be restricted; your workspace shows the allowance currently available. Contact hello@switchcasestudios.com if you cannot access billing or need assistance. Charges from your independently connected providers remain your responsibility. Price changes for an existing subscription will be disclosed before they apply, subject to applicable law.
7. Ending use and deleting data
You may stop using the service, remove embedded code and revoke integrations at any time. Use the dashboard to remove sources and conversations, or contact us to request workspace closure and discuss access to your data. Keep independent copies of original documents; this service is not a backup system.
Archiving a source stops its use for new retrieval and offers a seven-day recovery window. Permanent deletion or expiration ends that recovery option. Historical answers and tickets already sent to a helpdesk are separate records; changing a source does not rewrite them. The Privacy Notice explains retention and deletion limits, including independently held third-party records and information required for legal obligations.
Upon termination, your right to use the service ends. Provisions that by their nature need to survive—ownership, accrued obligations, restrictions, disclaimers, liability limitations and dispute provisions—continue to the extent permitted by law.
8. Warranty disclaimer
TO THE EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND AI OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR THAT OUTPUT WILL BE ACCURATE OR MEET EVERY CUSTOMER REQUIREMENT.
These disclaimers do not override an express commitment in a separately signed agreement or a warranty or right that cannot lawfully be excluded.
9. Liability and third-party claims
To the maximum extent permitted by law, SwitchCase is not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or lost profits, revenues, goodwill or business opportunity arising from the service. Our aggregate liability arising out of or relating to the service and these Terms is limited to the greater of US $100 or the amount you paid us for Companion during the twelve months before the event giving rise to the claim. These limits apply regardless of the legal theory of the claim.
These exclusions and limits do not apply to fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or any liability that applicable law does not permit us to exclude or limit. Mandatory consumer and data-protection rights remain intact.
If you are a business Customer, you will defend and indemnify SwitchCase against third-party claims and reasonable associated costs arising from your infringement of another’s rights, unlawful content, or unlawful use of the service. This obligation does not cover claims caused by our breach, negligence or misconduct. We must give prompt notice, reasonably cooperate at your expense and allow you to control the defense with qualified counsel; no settlement may admit fault or impose an obligation on us without our consent, not to be unreasonably withheld.
10. Changes, disputes and general terms
We may revise these Terms prospectively and will identify the effective date. Material changes will be communicated through the service or available account contact information before taking effect, with renewed agreement where required. A revision does not retroactively alter an accrued claim. A separately signed agreement controls to the extent of a conflict.
Please contact us first about a dispute so we can try to resolve it. These Terms do not impose mandatory arbitration, waive class proceedings or require you to give up a court or legal protection otherwise available under applicable law. Governing law and competent courts are determined by applicable law unless a separate valid agreement provides otherwise.
If a provision is unenforceable, the remaining provisions continue to the extent lawful. A failure to enforce a provision is not a waiver. You may not transfer this agreement without our consent, except as permitted by law. We may transfer it with the service in a merger or business sale, subject to existing obligations and applicable law. These Terms and any expressly incorporated or separately signed terms form the agreement for the service.
